NATURE OF THE CASE: This was a dispute over the sale of land.
FACTS: Romain (D) offered to sell property to Schwedes (P) by letter. P orally accepted
the contract, and D hired an attorney, and set a closing date agreed upon by all parties.
Everything was set to close until D sold the property to someone else. P sued. The district
court dismissed the complaint. P appealed
