NATURE OF THE CASE: KM (D) moved to dismiss Huilin's (P) complaint for failure to state a
claim, or, in the alternative, for summary judgment.
FACTS: P brought suit against D (three corporations) for failure to pay for certain goods
ordered from P.I t is alleged that D placed these orders through his various companies, but
when these entities became insolvent, he formed a new company to avoid any obligation to pay
P. D moved to dismiss for failure to state a claim upon which relief can be granted, or, in
the alternative, for summary judgment.
